it shouldn't ask for a password word unless u downloaded a copy of it.
i think it needs a cd key when u install it. try looking at the site you got it from

did you pay for it? or is it freeware/warez

if its zipped and password protected, it sounds very much like a download, but there could be a million other reasons why but it is this in a lot of cases.
